Agreement to These Terms
By using the website at afterwavetechs.co.za or engaging AfterWave Tech Solutions ("AfterWave", "we", "us") for any service, you ("the Client") agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
These Terms apply to all services including website design, digital marketing, hosting, tech repairs, data recovery, and IT support. Specific terms per service are outlined in sections below. They are read together with our Privacy Policy and Refund & Cancellation Policy, which form part of this agreement.
Our Services
AfterWave Tech Solutions provides the following services to individuals and businesses in South Africa:
- Website Design & Development
- Digital Marketing (Social Media Management, SEO, AEO, Paid Advertising)
- Web Hosting & Domain Registration
- Tech Repairs & Upgrades (PCs, Laptops, Apple devices)
- Data Backup & Recovery
- IT Support Contracts
We reserve the right to decline any project or client at our discretion, without obligation to provide a reason.
Quotes, Payments & Refunds
Quotes: All quotes provided are valid for 14 calendar days from the date issued. After this period, pricing may change.
Deposits: A non-refundable deposit of 50% of the total project cost is required before any work begins. The remaining balance is due upon project completion and before the final deliverable is handed over or made live.
Recurring services (hosting, email hosting, domains, social media management, IT support) are billed in advance for each billing cycle (monthly unless another cycle is agreed or shown at checkout). Hosting and domain billing is explained in Section 7. Non-payment within 7 days of the due date may result in service suspension.
Refunds: Due to the nature of digital work, we do not offer refunds once work has commenced. If AfterWave fails to deliver an agreed service, we will first attempt to remedy the issue. If unresolved, a partial refund proportional to undelivered work may be considered at our discretion.
Your statutory rights: Nothing in these Terms limits any right you have under the Consumer Protection Act 68 of 2008 (CPA) or the Electronic Communications and Transactions Act 25 of 2002 (ECTA), including the cooling-off right for online purchases. Refunds, cooling-off and cancellation of hosting, email, domain and other online services are explained in our Refund & Cancellation Policy.
Important: Deposits are non-refundable under all circumstances, as they cover time, resources, and planning committed at the start of a project.
Website Design Projects
Client responsibilities: The Client agrees to provide all required content (text, images, logo, branding) in a timely manner. Delays caused by late content delivery will push back the project timeline — AfterWave is not liable for such delays.
Revisions: Each package includes a defined number of revision rounds. Additional revisions beyond the included scope will be quoted and billed separately.
Browser compatibility: Websites are tested on modern browsers (Chrome, Firefox, Safari, Edge). We do not guarantee compatibility with outdated browser versions.
Project abandonment: If a project is inactive for more than 60 days due to the Client's non-response or failure to provide content, AfterWave reserves the right to close the project. The deposit will be forfeited.
Ownership: Full ownership of the completed website transfers to the Client upon receipt of final payment. Until then, AfterWave retains all rights to the work.
Portfolio rights: Unless the Client explicitly requests otherwise in writing, AfterWave reserves the right to display the completed work in our portfolio and marketing materials.
Digital Marketing Services
Results disclaimer: While we apply best-practice strategies, AfterWave makes no guarantee of specific results (followers, leads, sales, rankings). Digital marketing outcomes depend on many factors outside our control including market conditions, ad budgets, and platform algorithm changes.
Ad spend: For paid advertising campaigns, the agreed ad budget is paid directly to the platform (Meta, Google) by the Client or via AfterWave on the Client's behalf. Ad spend is separate from AfterWave's management fee.
Account access: The Client must provide access to relevant social media, Google, or ad accounts. AfterWave will not be held responsible for any issues arising from accounts the Client does not control or own.
Content approval: Clients may request approval of posts before publishing. If no approval preference is stated, AfterWave will proceed with publishing within the agreed schedule.
Cancellation: Monthly marketing services require 30 days' written notice to cancel. No refund is provided for the current billing month.
Hosting & Domain Services
Plans: Each hosting and email plan is limited to the resources and features described on the plan at the time you order it. Where a plan is described as "unlimited" (for example bandwidth), it is subject to fair use: accounts that use resources in a way that harms the stability or performance of a shared server may be asked to optimise, upgrade to a suitable plan, or may be restricted or suspended.
Uptime: We aim for maximum uptime but cannot guarantee 100% availability. Scheduled maintenance, third-party outages, or force majeure events may cause temporary downtime. AfterWave is not liable for losses caused by downtime.
Acceptable use: Hosting and email accounts may not be used for illegal content, spam or bulk unsolicited email, phishing, malware distribution, or any activity that violates South African law. Mailbox and sending limits may apply to protect our servers and sender reputation. Violation will result in immediate suspension without refund.
Account and control-panel security: Hosting accounts are created for you when your order is activated, and your login details are sent to the email address on your Client Area account. You are responsible for keeping your control-panel, email and Client Area passwords secure, and for everything done under them. Tell us immediately if you suspect your account has been compromised.
Domains: Domain registration is subject to availability and the rules of the relevant registry. AfterWave acts as a reseller and cannot guarantee domain registration. You are the registrant of your domain and must provide accurate and current registrant details; false or outdated details can lead to suspension or loss of the domain under registry rules. Domain fees are charged for the registration period (normally one year) and are paid to the registry or registrar when the domain is registered, which is why they cannot be refunded once registered (see the Refund & Cancellation Policy).
Domain renewals and transfers: We send renewal reminders and invoices to your account email as a courtesy, but keeping your domain renewed is your responsibility. A domain that is not renewed before it expires may be suspended or lost, and restoring it can attract additional registry fees. Transfers in and out are subject to the registry’s rules, including any transfer locks that may apply after registration or a transfer.
Domain fees: Domains are not included free with hosting plans. A domain is paid for once per registration period (normally yearly) and renews each year at the price applicable at the time of renewal.
Free website design offer: Where we run a promotion for a free 1–4 page website design, the design fee for that package is waived and you pay only for your domain registration and hosting. Extra pages, features or services are quoted separately, the offer has no cash value, and we may change or withdraw it for future orders.
Backups: While we maintain periodic backups, the Client is responsible for keeping their own copies of all website content and data. AfterWave is not liable for data loss.
Hosting Billing & Client Area
This section applies to hosting, email hosting, domain and related services that you order, pay for or manage through the AfterWave online billing portal (the "Client Area"), which is powered by FOSSBilling. It applies together with Sections 3 and 6 and our Refund & Cancellation Policy.
Invoices are issued electronically in South African Rand (ZAR). Please pay by the due date and always use the invoice number as your payment reference so that we can allocate your payment correctly.
Your Client Area account: You must be 18 or older, and you must provide accurate contact and billing details, and keep them up to date. You are responsible for all activity under your account and for keeping your login details confidential. Tell us at once if you suspect unauthorised use.
Orders and activation: Placing an order is an offer to buy. A contract is formed when we confirm your order, which for paid services is when your payment is confirmed. We normally activate hosting and domains within 24 hours of confirmed payment. We may decline or cancel an order (with a full refund of any amount paid for it) if a domain is unavailable, the details supplied are incorrect, or we suspect fraud or abuse.
Invoices and billing cycles: Invoices are generated ahead of each due date and emailed to the address on your account; they are also available in the Client Area. Hosting and email plans are billed per cycle (monthly unless you choose another cycle at checkout), domains are billed for each registration period, and once-off setup fees are invoiced with your first invoice.
Prices and tax: Prices are shown in ZAR. Where VAT or any other tax applies, it is shown on the invoice. We may change our prices by giving you at least 30 days’ notice before your next billing cycle; the new price then applies from that cycle. Domain renewal prices may also change when registry or registrar costs change.
Payment methods: You may pay by EFT and by any other payment method offered at checkout or in the Client Area. Card and instant-EFT payments are processed by third-party payment providers, and AfterWave does not store your card details. A payment is applied once it has cleared. Bank and payment-provider charges on your side are for your account.
Renewals: Services renew for the same billing cycle by way of a renewal invoice until you cancel. If you switch on automatic card payments, you authorise us and our payment provider to charge your card for each renewal invoice, and you can switch this off at any time in the Client Area. A renewal invoice does not oblige you to continue: you may cancel before the due date as described under "Cancellation" below and in the Refund & Cancellation Policy.
Late payment, suspension and termination: We send reminders before and after the due date. If an invoice is still unpaid 7 days after its due date, we may suspend the service (including websites and email). If it remains unpaid 30 days after suspension, we may terminate the service and permanently delete the associated account, website files, databases and mailboxes. Services are restored once all overdue amounts are paid, if the data has not yet been deleted. Domains that are not renewed expire under the registry’s rules.
Credit balance: Any credit held on your account is applied automatically to your invoices. Credit is not paid out as cash except where the law or our Refund & Cancellation Policy requires a refund.
Upgrades and downgrades: An upgrade is invoiced pro rata for the rest of the current billing cycle. A downgrade takes effect at your next renewal and does not earn a credit for the current cycle.
Billing disputes: If you believe an invoice is wrong, contact us within 14 days of the invoice date, giving the invoice number and the reason. You must still pay any part of the invoice that is not in dispute by the due date. We will respond to genuine disputes promptly.
Failed or reversed payments: If a payment fails, is returned or is reversed (including a chargeback you raise without first contacting us), the invoice is treated as unpaid and the service may be suspended. We may recover reasonable bank and processing charges caused by the reversal.
Electronic communication: You agree that we may send invoices, statements, receipts, renewal and overdue reminders, service notices and changes to these Terms to the email address on your account and through the Client Area, and that these are valid written notices under ECTA. These are service messages, not marketing. Please keep your email address current and check your spam folder.
Cancellation: You can cancel a service from the Client Area or by emailing solutions@afterwavetechs.co.za from the address on your account. To avoid being invoiced for the next cycle, cancel before the next due date. Cancellation takes effect at the end of the period you have already paid for, unless the cooling-off rules in the Refund & Cancellation Policy apply. Amounts that are due for the period up to cancellation remain payable.
Data after cancellation: When a service is cancelled, suspended or terminated, we may delete the hosting account and its data after 30 days. Download and back up your website files, databases and email before you cancel.
Tech Repairs & Upgrades
Assessment fee: A diagnostic/assessment fee may apply. This will be communicated upfront before any work begins. If you accept the repair quote, the assessment fee is deducted from the total cost.
Data loss: AfterWave takes every precaution, but repairs carry an inherent risk of data loss. The Client is responsible for backing up their data before submitting a device for repair. AfterWave is not liable for any data lost during the repair process.
Uncollected devices: Devices not collected within 30 days of completion notice will incur a storage fee. Devices uncollected after 90 days may be disposed of or recycled at AfterWave's discretion.
Warranty: Repairs carry a 30-day workmanship warranty. This covers the specific repair performed and does not apply to new faults or damage caused by misuse.
IT Support Contracts
Contract term: IT support contracts are agreed on a monthly basis unless otherwise specified in a signed agreement. Either party may cancel with 30 days' written notice.
Scope of support: Support is limited to the systems, devices, and scope defined in the contract. Out-of-scope requests will be quoted separately.
Remote access: The Client grants AfterWave authorised remote access to systems solely for the purpose of support. AfterWave will not access systems beyond what is necessary and will maintain confidentiality of all information encountered.
Response times: AfterWave commits to a 12-hour response guarantee during business hours. Response times outside business hours are not guaranteed unless a premium after-hours contract is in place.
Data Backup & Recovery
No guarantee of recovery: Data recovery success depends on the condition of the storage media and the nature of the failure. AfterWave does not guarantee successful recovery in all cases.
Pricing: Recovery is assessed on a case-by-case basis. A diagnostic fee applies. The final recovery fee is only charged upon successful recovery, unless otherwise agreed.
Confidentiality: All data encountered during recovery is treated as strictly confidential. AfterWave staff will not access, copy, or retain your personal or business data beyond what is necessary for the recovery process.
Intellectual Property
All intellectual property created by AfterWave (including designs, code, graphics, and written content) remains the property of AfterWave until full payment is received, at which point ownership transfers to the Client as agreed.
The Client warrants that all content they provide (text, images, logos) is either owned by them or they have the legal right to use it. AfterWave is not liable for any intellectual property infringement arising from Client-provided content.
AfterWave's own brand, logo, and website content may not be copied, reproduced, or used without prior written permission.
Limitation of Liability
To the maximum extent permitted by law, AfterWave's total liability to any Client for any claim arising from our services shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.
AfterWave is not liable for:
- Loss of business, revenue, or profits
- Data loss or corruption (beyond our direct negligence)
- Consequential or indirect damages of any kind
- Downtime caused by third-party platforms (hosting infrastructure, Google, Meta, etc.)
- Delays, errors or failures of banks, payment providers, domain registries and registrars
- Events outside our reasonable control (load shedding, natural disasters, etc.)
Confidentiality
Both parties agree to keep confidential all non-public information shared during the course of the business relationship. AfterWave will not disclose the Client's business information, data, or strategies to any third party without prior written consent, except as required by law.
Termination
Either party may terminate a service agreement with the required notice period (as specified per service above). AfterWave reserves the right to immediately terminate any agreement — without refund — if the Client:
- Fails to make payment within the agreed terms
- Engages in abusive, threatening, or unlawful behaviour toward AfterWave staff
- Uses our services for illegal, fraudulent, or harmful purposes
- Breaches any material term of this agreement
Suspension, termination and data deletion for hosting, email and domain services are further governed by Sections 6 and 7, and refunds on cancellation by the Refund & Cancellation Policy.
Governing Law
These Terms and Conditions are governed by the laws of the Republic of South Africa. Any disputes arising from these terms or our services will be subject to the jurisdiction of the South African courts.
We encourage Clients to first contact us directly to resolve any dispute informally before pursuing formal legal action.
